Player Agreement Overview

These Terms and Conditions (the “Agreement”) govern your access to and use of ScarletSands, a free-to-play social sweepstakes platform operated by UTech Solutions LLC (“UTech Solutions,” “ScarletSands,” “we,” “us,” or “our”). By creating an account, browsing the site, or participating in any promotion, you agree to be bound by this Agreement in its entirety.

No purchase necessary to play or win. ScarletSands offers Gold Coins for entertainment purposes and, where permitted by law, Sweeps Coins that may be used to enter promotional sweepstakes. Sweepstakes void where prohibited, and availability of any feature may vary by jurisdiction.

This Agreement should be read together with our Privacy Policy and any Official Rules published for a specific promotion. If a conflict arises between this Agreement and a promotion’s Official Rules, the Official Rules control for that specific promotion only.

We may amend this Agreement from time to time. Continued use of ScarletSands after an update is posted constitutes your acceptance of the revised terms. We encourage you to review this page periodically.

Arbitration and Class-Action Waiver

You and UTech Solutions agree that any dispute, claim, or controversy arising out of or relating to this Agreement or your use of ScarletSands shall be resolved through binding arbitration before a neutral arbitration provider, rather than in court, except where prohibited by applicable law.

By accepting this Agreement, you waive any right to a jury trial and agree that claims will be brought only in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

The arbitrator, not any court, shall have exclusive authority to resolve disputes relating to the enforceability of this arbitration clause. If any portion of this class-action waiver is found unenforceable, the remainder of the arbitration provision shall remain in full force.

Nothing in this section prevents either party from bringing an individual claim in small claims court where such a forum has jurisdiction over the dispute, or from seeking injunctive relief for misuse of intellectual property.

Eligibility Requirements and Personal Representations

You must be at least 21 years of age, or the age of majority in your jurisdiction if higher, to register an account or participate in any ScarletSands promotion. By creating an account, you represent and warrant that you meet this age requirement.

Sweepstakes void where prohibited. You further represent that your participation is lawful in the jurisdiction where you reside, and it is your responsibility to confirm that social sweepstakes gameplay is permitted where you live before registering.

• You must provide accurate, current, and complete information during registration.
• You may maintain only one active account per person, household, and device.
• You must not be a resident of a jurisdiction where participation is restricted or prohibited.
• You must not be an employee, contractor, or immediate family member of UTech Solutions with access to game outcomes.

UTech Solutions reserves the right to request identity verification documents at any time to confirm eligibility. Failure to provide requested verification may result in suspension of your account and forfeiture of associated Sweeps Coins.

Digital License and Social Token Framework

Gold Coins and Sweeps Coins are virtual, revocable digital licenses granted to you for entertainment purposes only. They are not currency, property, or a store of value, and they confer no ownership rights of any kind.

Gold Coins have no cash value under any circumstance and cannot be redeemed, exchanged, or transferred for cash or any other item of value. They exist solely to enable social gameplay within ScarletSands.

Sweeps Coins, where made available and where legally permitted, may be used to enter promotional sweepstakes and may be redeemable for prizes strictly in accordance with the applicable Official Rules published for that promotion. Redemption is not guaranteed and remains subject to verification.

The license granted to you for Gold Coins and Sweeps Coins is personal, non-transferable, non-sublicensable, and revocable at any time by UTech Solutions, including upon account termination, suspension, or a determination of ineligibility.

UTech Solutions may modify, suspend, or discontinue the Gold Coin or Sweeps Coin framework, including reward structures and redemption thresholds, at its discretion and without prior notice, subject to applicable law.

Account Security and Profile Administration

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorized it.

You agree to notify ScarletSands support immediately at [email protected] if you suspect unauthorized access to your account or a breach of your login credentials.

1. Choose a unique password and avoid sharing it with any third party.
2. Keep your registered email address and contact details current.
3. Do not permit any other person to access or use your account.
4. Report suspected compromise of your account without delay.

UTech Solutions is not liable for any loss arising from your failure to safeguard your account credentials, and we reserve the right to require additional identity verification before restoring access to a compromised account.

Fraud, Abuse, and Prohibited Activity

You agree not to engage in any fraudulent, deceptive, or abusive conduct in connection with ScarletSands, including but not limited to the creation of multiple accounts, use of automated scripts, or exploitation of software errors.

• Creating or controlling more than one account per person, household, or device.
• Using bots, macros, emulators, or other automated tools to interact with the platform.
• Colluding with other players to manipulate promotional outcomes.
• Exploiting a known bug, glitch, or misconfiguration for personal gain.
• Providing false identity, age, or location information during registration or verification.

UTech Solutions reserves the right to withhold, reverse, or forfeit Gold Coins or Sweeps Coins, and to suspend or terminate any account, where we reasonably believe fraudulent or abusive activity has occurred. We may also report suspected fraud to relevant authorities where required by law.

Intellectual Property and User Contributions

All content on ScarletSands, including graphics, game titles, logos, text, and software, is owned by UTech Solutions or its licensors and is protected by applicable intellectual property laws. No rights are transferred to you except a limited, revocable license to access the platform for personal, non-commercial entertainment.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on any portion of the ScarletSands platform without our prior written consent.

If you submit feedback, reviews, forum posts, or other content to ScarletSands (“User Contributions”), you grant UTech Solutions a worldwide, royalty-free, perpetual license to use, reproduce, and display that content in connection with operating and promoting the platform.

You represent that any User Contribution you submit is your own original work, or that you otherwise hold the rights necessary to grant the license described above, and that it does not infringe the rights of any third party.

System Outages and Technical Disruptions

ScarletSands relies on third-party infrastructure, software providers, and network connectivity that may occasionally experience interruptions. We do not guarantee uninterrupted, error-free, or continuous access to the platform.

In the event of a verified system malfunction, disconnection, or technical disruption affecting gameplay, UTech Solutions reserves the right to void affected rounds, adjust results, or restore accounts to their pre-malfunction state, at our discretion.

We may suspend access to ScarletSands, in whole or in part, for scheduled maintenance, security review, or unforeseen technical issues, and we will make reasonable efforts to restore service promptly.

Liability Limits and Indemnification

To the fullest extent permitted by applicable law, ScarletSands and its Gold Coin and Sweeps Coin features are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

UTech Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, ScarletSands, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under this Agreement shall not exceed the greater of the amount you paid, if any, for Gold Coin packages in the six months preceding the claim, or one hundred dollars.

You agree to indemnify, defend, and hold harmless UTech Solutions, its officers, employees, and affiliates from any claim, loss, or expense, including reasonable attorneys’ fees, arising out of your breach of this Agreement, your violation of applicable law, or your misuse of the platform.

Termination and General Provisions

UTech Solutions may suspend or terminate your account at any time, with or without notice, for violation of this Agreement, suspected fraud, ineligibility, or as otherwise permitted by law. You may also close your account at any time by contacting [email protected].

Upon termination, any outstanding Gold Coins are forfeited without compensation, and any pending Sweeps Coin redemption remains subject to verification under the applicable Official Rules before it is honored, if at all.

This Agreement is governed by the laws of the applicable jurisdiction, without regard to conflict-of-law principles. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

This Agreement, together with our Privacy Policy and any applicable Official Rules, constitutes the entire agreement between you and UTech Solutions regarding your use of ScarletSands. Our failure to enforce any provision shall not constitute a waiver of that provision.
